I'm a cheatin'
I'm going to put in a couple of honourable mentions before nominating my favourite.
No offence to Steve Ditko but I always loved the JR Sr cover for ASM #39. And AMS#278 with its 70% white cover really stands out on the comic rack. Not to mention seeing Flash unmasked as Hobby on the cover. AMS Vol 2 #38 is one of the reasons I bought a comic as opposed to a TPB for the first times in years. (Not having a student loan anymore is another!). PPTSSM #109 has the best use of black and white and red (please...no newspaper jokes) I can ever remember seeing. Web of Spider-man annual #1 runs it a close second though.
But my all time favourite which just seems to sum everything up about Peter and Spidey is that over the shoulder, unmasked but in costume look from AMS vol 2 #37. Classic

I've gotta go with ASM #40 first. It's just a stunningly beautiful cover of Spidey standing over a defeated Green Goblin with flames in the background. #39 is great too, but it doesn't have nearly the detail that #40 does.
Other honerable mentions should be #50, #121, Spider-Man #1 (McFarlane), and the string of Al Milgrom covers from PPSSM between 73-79 are amazing too.

Spiderman is berserk, in his black duds, and is about to pulp JJJ! As a kid flipping thru spinner rack comics, this one nearly knocked me out of my underoos. I still think its one of the greats.

My Fave Spidey Cover
I'd have to say that my favorite cover ever was the cover of Civil War #2, with Spidey un-masked in full public view. The art was exceptional, and it had a great "shock" impact. Just how I'd always pictured it happening!

I'll agree that #40 has a wonderful use of color and detail (flames are a nice touch), but it gives too much away. #39, on the other hand, was great at really drawing you in. No way could you resist that cover.

ASM #410. Mark Bagley produced several striking Amazing Spider-Man covers in the 90s, especially during the Ben Reilly days. Just take a look at #408 or #413. However, my favorite one has to be #410. The raw energy in that pose, the coloring, this one was just beautiful and proves that not everything connected to the Clone Saga was bad.

Spider-Man: With Great Power #1. Very recent, that's why it's not higher on the list. I love the Yin Yang feeling of this cover, especially how the hands cross over from one half to the other. Couple that with nice touches like the web in the background, the unbuttoned collar or the spider on Peter's hand, and you get a really memorial image. I'm curious if it will stand the test of time.

ASM #219. A brilliant cover by Frank Miller. The body language of both Spidey and Peter, the black stripes... Really potent image.

Amazing Spider-Man #151. The expression on Spider-Man's mask, the pose, even without the word balloons you'd know that Spider-Man is pissed. But look at the details! The water at the bottom of the page. The countless bubbles all over the page. The rats. Just by looking at this cover, you can almost smell the sewer and hear the noise of the water shooting out of the pipe. You're in the scene. Few artists manage to do that. Romita is one of them.

i like the classic covers from the lee/ditko days. but a really good cover is web of spider-man #13. the look on jamesons face is priceless. granted the cover does not put spidey in the best light but it is a cover that will get you attention http://www.coverbrowser.com/covers/web-of-spider-man#i13
